Terms of Sale

1. Purpose

These Terms of Sale govern the contractual relationship between:

• The provider: UMANO DESIGN STUDIO, EURL (single-member limited liability company) with a share capital of €1,000, registered with the Annecy Trade and Companies Register under number 940 032 600, with its registered office at Pépinière Les Papeteries, 1 esplanade Augustin Aussedat, 74960 Annecy, France, represented by Samy Aboudrar, Managing Director (hereinafter "Foro"). VAT: FR31940032600.
• The client: any legal entity (tourism office, local authority, cultural site, park) subscribing to a Foro plan (hereinafter "the Client").

Any subscription implies unreserved acceptance of these Terms of Sale.

2. Description of service

Foro is a platform enabling:

• Creation and management of geolocated narrative routes (guides) distributed via the Foro mobile app (iOS).
• Access to visitor traffic, route, and satisfaction data.
• Generation of access QR codes and printable versions of guides.
• Translation of guides into multiple languages.

3. Pricing — Municipalities and tourism offices

3.1 Platform access

€199 excl. VAT / month — Access to the creator space: guide creation, editing, translation, and monthly reports.

3.2 Published guide

€99 excl. VAT / month per published guide — Each published guide is added to the monthly subscription. A guide removed from publication is no longer billed the following month.

3.3 Production and signage

Custom quote — Optional service including writing, media production (photo, video, audio), and guide setup. Custom signage (physical QR codes) is also available on request.

4. Pricing — Private sites and ticketed venues

For sites offering a paid guide to visitors (parks, gorges, natural sites):

• Guide production is billed on a custom quote basis.
• Revenue from guide sales is shared: 60% for the Client, 40% for Foro.
• Foro handles payment collection, App Store distribution, and remits the Client's share monthly.

5. Promotional offers

Foro may offer launch promotions (free guide, complimentary months, etc.) whose terms are specified in writing. Such offers do not modify these Terms of Sale unless explicitly stated otherwise.

6. Billing and payment

• Subscriptions are billed monthly, in arrears.
• Invoices are issued electronically.
• Payment is due within 30 days of invoice receipt.
• Late payment automatically incurs penalties at the legal interest rate, plus a fixed recovery fee of €40.

All prices are stated in euros, exclusive of VAT. Applicable VAT is charged at the rate in effect on the invoice date.

7. Duration and termination

• The subscription is entered into for an indefinite period.
• Either party may terminate with 30 days' notice, by email to samy@umanodesign.studio.
• Upon termination, the Client's guides are removed from the app. Client data remains available for export for 30 days.

8. Intellectual property

• Client content: the Client retains full ownership of the content they provide or create (text, images, videos, audio). The Client grants Foro a non-exclusive distribution license for the duration of the subscription.
• Foro platform: the platform, its code, design, and brand remain the exclusive property of Umano Design Studio.

9. Personal data

Personal data processing is described in our Privacy Policy. Foro acts as a data processor within the meaning of the GDPR for visitor data related to the Client's guides.

10. Liability

• Foro undertakes to provide the service as described and to ensure reasonable platform availability.
• Foro shall not be held liable for content published by the Client, nor for indirect damages (loss of revenue, data, or reputation).
• Foro's liability is capped at the total amount paid by the Client during the preceding 12 months.

11. Force majeure

Neither party shall be held liable for any failure to perform its obligations resulting from a force majeure event as defined by Article 1218 of the French Civil Code.

12. Governing law and disputes

These Terms of Sale are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution. Failing that, the competent courts of Annecy, France, shall have exclusive jurisdiction.
